These terms apply to use of gntme.com and to enquiries, quotations and orders placed with Gear Net Technologies LLC.
These Terms and Conditions (“Terms”) govern access to and use of gntme.com (the “Website”) and enquiries, quotations and orders placed with Gear Net Technologies LLC (“Gear Net”, “we”, “us” or “our”). By using the Website, submitting an enquiry or accepting a quotation, you agree to these Terms. If you do not agree, please do not use the Website.

2. Website information
Website content is provided for general information and product discovery. Product descriptions, images, specifications, compatibility information, stock indications and lead times may be supplied by manufacturers or distributors and may change without notice. Customers must confirm that a product is suitable and compatible before ordering. An error or omission on the Website does not oblige us to supply a product on incorrect terms.
3. Enquiries, quotations, orders and cancellation
A Website submission, cart submission, purchase order or other enquiry is a request and does not by itself create a binding supply contract. A contract is formed only when we issue written order acceptance, a confirmed sales order or an invoice and receive any required payment. Quotations are valid only for the stated period and are subject to stock availability, credit approval, export eligibility and final confirmation. The terms on an accepted quotation, sales order or invoice take priority over these Website Terms if there is any conflict. Once accepted, an order may not be cancelled, reduced or rescheduled without our prior written approval. We may require payment of supplier cancellation charges, committed costs, currency losses, restocking fees and other resulting expenses.
4. Prices, taxes and payment
Prices may change until an order is formally accepted. Unless stated otherwise, prices exclude VAT, customs duties, bank charges, delivery, insurance, installation and other applicable charges. Payment must be made in full, without set-off, deduction or counterclaim, using the method, currency and deadline shown on our quotation or invoice. Deposits and advance payments are non-refundable once we have committed funds or placed an order with a supplier, except where we expressly agree otherwise in writing. We may revise an unaccepted price to reflect exchange-rate movements, supplier increases, taxes, freight or regulatory charges. We may suspend processing, delivery, licensing or services until cleared funds are received and recover reasonable collection costs for overdue sums.
5. Availability, delivery and risk
Stock status and delivery dates are estimates unless we expressly confirm otherwise in writing. Delivery may be made in instalments. Risk, title, shipping responsibility and Incoterms (where applicable) will be as stated in the accepted quotation or invoice. Customers are responsible for providing accurate delivery and customs information and for obtaining any permits or approvals allocated to them under the agreed shipping terms. Unless our accepted quotation states otherwise, risk passes on delivery to the carrier or customer, while legal title remains with Gear Net until all amounts due for the relevant goods are received in cleared funds. Until title passes, the customer must keep the goods identifiable, protected and insured and must not create any security interest over them.
6. Inspection, shortages and returns
Customers must inspect deliveries immediately and notify us in writing of visible damage, shortage, incorrect product or other delivery discrepancy within two business days, or within any different period stated on the quotation or invoice. Returns require prior written approval and a valid return merchandise authorisation (RMA). Products returned without authorisation may be refused. Eligibility, restocking charges and return shipping depend on the product condition, manufacturer policy and the agreed transaction terms. Special-order, configured, licensed, activated, clearance or opened products may be non-cancellable and non-returnable unless defective or required otherwise by applicable law.
7. Warranties and support
Products are supplied with the manufacturer or distributor warranty stated in the quotation, invoice or product documentation. Warranty service may require serial-number verification, diagnostics and compliance with the manufacturer’s RMA process. Except where expressly agreed in writing or required by law, Gear Net does not provide warranties beyond those passed through from the manufacturer or distributor. Installation, configuration, maintenance and support services are included only when specifically stated.
8. Customer responsibilities
You must provide complete and accurate identity, billing, delivery, end-user and technical information. You are responsible for compatibility checks, backups, licences, lawful deployment and secure configuration unless we have expressly agreed to perform those services. You must not misuse the Website, attempt unauthorised access, introduce malicious code, scrape data at disruptive volumes or use our products or services unlawfully.
9. Export controls and restricted use
Some products, software, encryption features and technical information may be subject to export, re-export, sanctions or end-use restrictions. Orders may be delayed, declined or cancelled where required compliance information is unavailable or where supply would breach applicable laws, manufacturer restrictions or trade controls. Customers must not divert products to prohibited destinations, parties or uses.
10. Intellectual property
The Website design, text, graphics, logos and original materials are owned by or licensed to Gear Net and are protected by applicable intellectual-property laws. Manufacturer names, trademarks and product images belong to their respective owners and are used for identification. No licence is granted except the limited right to access and use the Website for lawful business purposes.
11. Third-party services and links
The Website may link to manufacturers, payment providers, logistics providers or other third parties. Their websites and services are governed by their own terms and privacy practices. We are not responsible for third-party content, availability or security.
12. Privacy and communications
Personal information is handled according to our Privacy Policy. When you submit an enquiry, you authorise us to contact you about that enquiry through the contact details provided. Marketing communications may be opted out of using the method provided in the communication.
13. Disclaimers and limitation of liability
To the maximum extent permitted by applicable law, the Website is provided on an “as available” basis without a guarantee of uninterrupted or error-free operation. Gear Net will not be liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, data, business opportunity or goodwill, arising from Website use or a transaction. Where liability cannot lawfully be excluded, our aggregate liability relating to a supplied product or service will not exceed the amount paid for that specific product or service. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Indemnity
You will indemnify Gear Net and its officers, employees and suppliers against third-party claims, penalties, losses and reasonable costs arising from your unlawful use, unauthorised modification or resale of products, breach of export or sanctions requirements, infringement caused by customer-provided materials, or material breach of these Terms.
15. Force majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including manufacturer shortages, transport disruption, customs delay, cyber incidents, utility or communications failure, natural events, conflict, government action, epidemic or labour disruption. We will use reasonable efforts to communicate material delays.
16. Suspension and termination
We may suspend Website access, decline an enquiry or cancel an unfulfilled order where there is suspected fraud, abuse, non-payment, compliance risk, pricing error, stock unavailability or a breach of these Terms. Accrued rights and obligations survive termination.
17. Governing law and disputes
These Terms are governed by the laws applicable in the United Arab Emirates and the Emirate of Dubai. Subject to any mandatory rights or agreed dispute procedure, the courts of Dubai will have jurisdiction. Before commencing proceedings, the parties should attempt in good faith to resolve the dispute through written notice and discussion.
18. Changes to these Terms
We may update these Terms to reflect changes to the Website, our operations or legal requirements. The effective date above identifies the current version. Changes apply from publication and do not retrospectively alter an already accepted order unless agreed or required by law.
